1. Acceptance of Terms

By accessing or using coefficiant.com or any services offered by CoEfficiant Technology Services ("CoEfficiant", "we", "us", "our"), you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable Indian laws.

If you are accessing our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

CoEfficiant provides technology consulting services including offshore software development, AI enablement, enterprise application modernisation, cloud consulting, and technical strategy advisory ("Consulting Services").

We also operate the Akshar blog platform ("Platform"), which enables publishers to create, manage, and distribute content to readers.

These Terms apply to use of our website, lead-generation forms, Platform accounts, and any other digital touchpoint operated by CoEfficiant. Consulting Services rendered under a separate Statement of Work ("SOW") or Master Services Agreement ("MSA") are additionally governed by those agreements; in the event of a conflict, the SOW/MSA prevails.

3. User Accounts

To access certain features of the Platform you must register for an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential.

You are solely responsible for all activity that occurs under your account. Notify us immediately at support@coefficiant.com if you suspect any unauthorised use.

We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion.

4. Intellectual Property

All content on this website — including text, graphics, logos, icons, software, and the overall compilation — is the property of CoEfficiant or its licensors and is protected under the Copyright Act, 1957 and the Information Technology Act, 2000.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any website content without our prior written consent.

Platform users retain ownership of original content they create. By publishing content on the Platform you grant CoEfficiant a non-exclusive, royalty-free, worldwide licence to host, display, and distribute that content solely for operating the Platform.

The "CoEfficiant" name, logo, and associated marks are trademarks of CoEfficiant Technology Services. Unauthorised use is strictly prohibited.

5. Acceptable Use

You agree not to:

(a) Use our services for any unlawful purpose or in violation of any applicable Indian or international law, including the IT Act 2000, the DPDPA 2023, or the Indian Penal Code 1860.

(b) Upload, post, or transmit any content that is defamatory, obscene, hateful, invasive of another's privacy, or otherwise objectionable under applicable law.

(c) Attempt to gain unauthorised access to any system, network, or data associated with our services.

(d) Use automated tools to scrape, crawl, or harvest data from our website without written permission.

(e) Transmit spam, malware, or any harmful code.

(f) Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Violations may result in immediate account termination and may be referred to law enforcement authorities.

6. Third-Party Links and Services

Our website and Platform may contain links to third-party websites or integrate with third-party services. These are provided for convenience only. We do not endorse, control, or assume responsibility for any third-party content, privacy practices, or services.

Your use of third-party services is governed solely by their respective terms and policies.

7. Disclaimers

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

Content published on the Platform by third-party writers represents the views of those authors only and does not constitute advice from CoEfficiant.

8. Limitation of Liability

To the fullest extent permitted by applicable Indian law, CoEfficiant shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of, or inability to use, our services — even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising under these Terms shall not exceed the amount paid by you (if any) to CoEfficiant in the twelve months preceding the event giving rise to the claim, or ₹5,000, whichever is greater.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited under Indian law.

9. Indemnification

You agree to defend, indemnify, and hold harmless CoEfficiant, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of our services; (b) your violation of these Terms; (c) content you submit or post; or (d) your violation of any third-party right.

10. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your information as described therein.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

Informal resolution: Before commencing any formal proceedings, the parties agree to attempt resolution in good faith by notifying the other party in writing and negotiating for at least 30 days.

Arbitration: Any dispute not resolved informally shall be referred to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be India. Proceedings shall be conducted in English.

Consumer disputes: Nothing in this clause prevents you from approaching the appropriate Consumer Disputes Redressal Forum under the Consumer Protection Act, 2019 for consumer-related grievances.

12. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without notice, for any violation of these Terms or for any other reason at our sole discretion.

You may terminate your account at any time by contacting us at support@coefficiant.com.

On termination, clauses that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) remain in effect.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or a prominent notice on our website at least 15 days before taking effect.

Continued use of our services after the effective date of updated Terms constitutes your acceptance of the changes. The "Last updated" date at the top of this page reflects the most recent revision.

If you do not agree to the revised Terms, please discontinue use of our services.
